Dissolving A Llc And Starting A Brand New Business

I'm presently in a-2 member LLC (visual designs for clothing) that has no profits and no actual designs so far. There have just been style "suggestions" that have been mentioned and freely sketched. I talked with all the other associate and we've verbally decided to melt it. Obviously, we'll need certainly to hash out the facts written down, however in the meantime, should we proceed and record the Certificate of Termination?
Additionally, I Have already submitted for the Content of Organization (LLC-1) for a brand new LLC (again, visual patterns for clothing) and still need certainly to document a few more types using the SOS. Must I proceed with one of these filings or watch for the Certificate of Termination to be submitted initially?
And lastly, I've new designs that I'd prefer to begin making for your new LLC, but am unsure when it'd be ok to begin. The designs would actaully be outsourced to freelance visual designers. When wouldn't it be ok to positively start finding/dealing with them?

For your first question, you haven't provided enough information. My conservative reaction is to work out your dissolution agreement before dissolving. If you can't figure out what to do, consult a lawyer.

As for starting a new company, the biggest risk in these types of circumstances is that clients, vendors, or your ex-partner will view the new company as an extension of the old, or that your old partner will accuse you of misappropriating physical or intellectual property of the old company.
