I'm presently in a-2 member LLC (visual designs for clothing) that has no profits and no actual designs so far. There have just been style "suggestions" that have been mentioned and freely sketched. For your first question, you haven't provided enough information. My conservative reaction is to work out your dissolution agreement before dissolving. If you can't figure out what to do, consult a lawyer.

As for starting a new company, the biggest risk in these types of circumstances is that clients, vendors, or your ex-partner will view the new company as an extension of the old, or that your old partner will accuse you of misappropriating physical or intellectual property of the old company.
