It might be too early to even worry about that. It is great that you are thinking about business issues before you release a web application into the wild. But you may not need to do a lot of time-consuming and costly legal and financial work prior to the launch. For instance, if your revenue model is advertising and all your content is self-generated and your web property does not collect information about users, why not wait to form an entity until you get some idea of the revenue and its sources? I know it seems strange but there is nothing illegal about just flipping the switch and seeing what happens, so long as you have proper policies and disclaimers in place. AdSense and other advertising platforms can send you a form 1099 in your own name for their revenue. And you can have them hold the revenue for awhile while you get your ducks in order. If you are collecting personal information of any kind on the web from your customers, it is important for you to have a privacy policy in place and make your customers acknowledge it before registering at a website. Then of course you have to make sure your infrastructure is compliant with the privacy notice, and that user data is protected from intrusion. Also a website providing services to registered users ought to have terms of service, that spell out the contract with the users and disclaim availability and several other very important sources of potential liability to the website owner. Also, if you are the portal for user-generated content, you need to be prepared to deal with the infringement or fraudulent content submitted by them. If you are selling goods and services online, I strongly recommend you outsource the payment side of things with a reputable source like Paypal. Amazon has a new payments solution as well but I have no experience with it yet. One last pointer, I generally advise people not to form corporations in December, they can usually wait until January and then they will not have to file 2007 returns and assessments.
