I recently served on the Board of Directors at one of the Baseball Little Leagues in Pasadena Texas and was removed from the board due to here say that I broke a Bylaw, yet they could not really prove it and still handed me a letter stating I had been voted off. The letter was not signed and was given to me less than 24 hours before the start of our new yearly elections so I was not allowed to run again for one of the board positions. My question is does this letter hold valid and could I have a case against the current board since most of the old board members are still there. The truth is I started asking questions regarding our financial statements and they looked for an excuse to get rid of me. My son is still registered at this league so I am still a member of the League. This League goes by the name of Pasadena PeeWee League and the bylaws are not very specific. Any help ?

You did not inform me whether the League is incorporated. Let me know if it is incorporated as a Texas Nonprofit Corporation.  If it is, then the Texas Code sections for "Nonprofit Corporations" apply and they are available at:http://goo.gl/YYOWh

Specifically note:

§ 22.211. REMOVAL OF DIRECTOR.  (a) A director of a corporation may be removed from office under any procedure provided by the certificate of formation or bylaws of the corporation.   (b)  In the absence of a provision for removal in the certificate of formation or bylaws, a director may be removed from office, with or without cause, by the persons entitled to elect, designate, or appoint the director.  If the director was elected to office, removal requires an affirmative vote equal to the vote necessary to elect the director.

I would need to see the letter to give you my opinion whether it could be considered valid. You can send a copy as an attachment to my email address below, and I would also need to have a copy of the bylaws(I am assuming that the Articles of Incorporation do not have anything relevant in there).  Also let me know if the city or other governmental entity gives substantial benefits to the League, as that may effect your rights. By the way, I searched for "PeeWee"(without the quotes) athttp://apps.irs.gov/app/eos/
