I saw somewhere that it's either Delaware or Nevada that has the above two clauses to their corporations law...

Most states will allow you to incorporate regardless of your main office location. Delaware and Nevada were noted for their favorable tax structure. your corporation however may be liable for income and sales taxes in states where it does business.

Delaware is the Wild East when it comes to corporation stuff, though Nevada may be the Wild West!

Delaware traditionally does this. Many corporations are incorporated in Delaware, Google for example is a Delaware corporation.
