Hello,

A corp was intended to be setup. Before the corp was completed and individual signed a contract as the VP of the said corp(ie Joe Smith VP of ACME INC). The Corp was never completed. The other party to the contract received monies however failed to deliver the product. That other party says that the contract is voided because the Corp doesnt exist. The other party kept the monies.

Can Joe Smith the person,(NOT JOE SMITH VP OF ACME INC), of the non existent Corp sue the other party? Joe Smith would be sueing as his own natural person vs the other party. This action would be brought in Small Claims Court.
